1. Acceptance of Terms
By accessing or using Upside, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service.
2. Service Description
Upside is an automated investment tool that connects to your brokerage account to execute trades based on rules you configure. Upside does not hold your funds, provide personalized investment advice, or guarantee any investment returns.
All trading is executed through Alpaca Securities LLC, a registered broker-dealer and member of FINRA/SIPC. Your brokerage account, funds, and securities are held by Alpaca, not by Upside.
3. Eligibility
You must be at least 18 years old and a legal resident of a jurisdiction where use of this service is permitted. You are responsible for ensuring your use of Upside complies with all applicable laws.
4. Investment Risks
Investing involves risk, including the possible loss of principal. Past performance does not guarantee future results. You should not invest money you cannot afford to lose.
Upside may invest in leveraged ETFs and other volatile instruments. These products can experience significant price swings and may lose substantial value in short periods.
You are solely responsible for your investment decisions and for understanding the risks involved. Upside does not provide tax, legal, or financial advice.
5. Your Responsibilities
By using Upside, you agree to:

6. Intellectual Property
All content, features, and functionality of Upside are owned by Upside and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the service.
7. Limitation of Liability
Upside is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or any specific investment outcomes.
To the maximum extent permitted by law, Upside shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.
8. Termination
You may stop using Upside at any time by disconnecting your brokerage account. We reserve the right to suspend or terminate your access to the service at our discretion, with or without notice.
9. Changes to Terms
We may update these terms from time to time. Continued use of Upside after changes constitutes acceptance of the updated terms.
10. Governing Law
These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
